The CLT provides a highly employee-protective, rigid framework supported by decades of strict labor jurisprudence.

Benefits: Direct employment provides a clear framework for roles that meet the legal requirements for employment, reducing misclassification risk. It offers the employer stronger legal certainty and predictability, minimizing the risk of unexpected judicial claims and/or contingencies.

Obligations: This model imposes significant financial and administrative duties on the employer, including statutory benefits (13th-month salary, mandatory FGTS (Fundo de Garantia do Tempo de Serviço) contributions, up to 30 calendar days of paid annual leave and a 1/3 vacation bonus), strict working hour regulations, and mandatory compliance with applicable collective bargaining agreements.

Independent Contractors and B2B Agreements (The “PJ” Model)

The PJ model is usually intended for engagements with independent contractors who are not legally subordinate to the company receiving their services. To optimize costs and increase operational agility, many foreign entities choose to engage Brazilian professionals as independent contractors.

This is commonly executed through a B2B contractor agreement, known locally as hiring a PJ (pessoa jurídica – or legal entity in Portuguese). While attractive for specialized, project-based work, this model requires careful legal assessment.

The Misclassification Risk (Pejotização)

Brazilian law does not determine employment status solely by reference to the label used in the contract. Under Articles 2 and 3 of the CLT, the existence of an employment relationship depends on the factual characteristics of the relationship, including personal service, non-occasional work, remuneration and legal subordination.

Article 9 of the CLT further provides that acts intended to circumvent or defraud the application of labor legislation are legally void.

This reflects the Brazilian labor law principle commonly referred to as primacy of reality (primazia da realidade), which can be broadly explained to international readers as a substance-over-form approach: the actual facts of the working relationship may prevail over the contractual form chosen by the parties.

Characteristics such as subordination, exclusivity, recurring and fixed remuneration and benefits typical of a CLT employment relationship (for example, 13th-month salary, vacations and 1/3 vacation bonus) may indicate an employment relationship in practice.

The Consequences

If a court finds that a B2B arrangement actually constitutes an employment relationship, the company may be required to recognize the employment relationship retroactively and pay the corresponding labor entitlements, as well as applicable social security contributions and other related liabilities.

The Legal Status of PJ Arrangements

The legal status of PJ arrangements in Brazil remains unsettled and under the scrutiny of Brazil’s higher courts. While the Superior Labor Court (Tribunal Superior do Trabalho — TST) has traditionally focused on the factual elements of an employment relationship and the principle of primacy of reality, the Federal Supreme Court (Supremo Tribunal Federal — STF) has recognized the constitutional validity of alternative forms of work arrangements, including outsourcing and certain forms of PJ contracting, particularly where the relationship is genuinely independent and there is no evidence of fraud.

This has created important areas of uncertainty for companies structuring independent-contractor relationships in Brazil.

For a detailed analysis of PJ contracting, employment misclassification risks and STF Theme 1,389, please refer to our article Independent Contractors in Brazil: PJ Risks and Supreme Court Rulings.

Each relationship should therefore be analyzed individually, taking into account the contractual terms, the parties’ actual conduct and the degree of autonomy exercised by the contractor.

Specialized legal advice is particularly important when structuring or reviewing these arrangements.

Employer of Record (EoR) in Brazil: Structure and Legal Risks

Employer of record (EoR) is an international business model generally involving a third-party provider that assumes the formal employment relationship with a worker (usually under a CLT employment agreement) while the client company retains the EoR services provider by means of a services agreement and directs the worker’s day-to-day activities.

In Brazil, however, the EoR terminology does not correspond to a specific statutory employment model or independently regulated legal category.

Lack of a Dedicated Framework

Brazilian legislation does not establish a statutory regime specifically denominated or designed as an “employer of record” model. Depending on how the arrangement is structured and operated, however, it may implicate rules governing employment, outsourcing and temporary staffing (which apply to specific situations only).

Potential Liability

Depending on how the EoR arrangement is structured and managed, the foreign company may still face labor-related claims and/or contingencies.

This may include claims involving the employment relationship or the local provider’s failure to comply with its legal obligations. Therefore, an EoR should not be treated as or presumed to be a complete shield against labor liability in Brazil.

Strategic Oversight

The paradox of the EoR in Brazil is that exercising direct, unmediated control over the worker’s routine increases legal exposure.

To utilize this model successfully, the relationship must be carefully tailored, monitored, and legally balanced to preserve compliance, in order to avoid the recognition of subordination of the worker to the client company and an underlying employment relationship between the two.

The chart below compares the main characteristics of each model for retaining employees and contractors in Brazil:

Swipe to compare →

Hiring Model

Contractual Arrangement

Typical Applicability

Key Points of Attention

Direct Employment (CLT)

Employment relationship between the worker and the hiring company, which directly assumes the employer’s obligations.

Roles involving personal service, regular work and supervision by the company, where the relationship meets the legal requirements for employment.

Statutory remuneration and benefits, payroll contributions, working-time rules, applicable collective bargaining agreements and termination obligations. Ongoing services may also be suitable, depending on the actual relationship.

Contractual terms must reflect actual working practices. Employment-like subordination and the other statutory elements may lead to retroactive employment recognition and related liabilities. Exclusivity or fixed recurring payments alone do not establish employment. Relevant court developments should be monitored.

Employer of Record (EoR)

Service agreement between the client company and a local provider, which formally employs the worker, generally under the CLT, and administers payroll and employment obligations.

Engagement of workers through a local provider, potentially at the early stages of the client company’s activities in Brazil.

EoR is not a separate statutory employment category in Brazil. The applicable legal framework, allocation of employment powers and provider compliance require assessment. The client may retain exposure to employment claims and subsidiary liability under applicable outsourcing rules.

There is no one-size-fits-all hiring model for foreign companies doing business in Brazil. Navigating this environment requires balancing commercial goals against a strict tolerance for risk.

Legally recognized alternatives—such as structured temporary staffing regulated by specific statutes or specialized service supply contracts—may provide custom paths depending on the corporate objective.

At MMR – Mastrocola Marcondes Rocha Advogados, we provide high-level, tailored legal guidance for international clients navigating the complex Brazilian workforce landscape.
